International Business - PPP
ADAMAS participated in International forum PPP (Public-Private Partnership) Days 2012 jointly hosted by the World Bank, United Nations Economic Commission for Europe (UNECE) and the Asian Development Bank. Held since 2006 (the last events took place in Washington DC, USA, and Male, Philippines), PPP Days 2012 were held this year at the United Nations building (Palais des Nations) in Geneva. Some 700 experts from more than 80 countries attended the event that included two days of presentations and debates followed by a full-day Business Forum.
PPP Days is the premier global meeting that brings in contact the private sector practitioners (banks, investors, big groups and companies) and the public officials of developing countries and regions. During the full-day Business Forum of February, 23, the public sector practitioners and decision-makers presented their strategies, policies, priority projects and support for PPPs.
ADAMAS lawfirm participated in the work of the parallel session 1, covering the following countries: Japan, Ukraine, Armenia, Russian Federation, and Kazakhstan.

Purchase of FASVER by ITW Covid Security Group
Disposal of business
ADAMAS assisted Fasver Group with the disposal of its business, as well as that of its US sister company Fasver Technology Inc, to ITW Covid Security, a subsidiary of the Illinois Tool Works (ITW) conglomerate.
Fasver SAS, with 60 employees in France, specializes since 25 years in security printing and ink technology, and counts among its customers more than two thirds of the world's governments.

Purchase of MSSA-Métaux spéciaux by Nippon Soda
Chemicals sector - Mergers & Acquisitions
Adamas assisted the international group Alkaline with the sale of its subsidiary MSSA-Métaux spéciaux, a French chemicals company, to Nippon Soda, a Japanese industrial conglomerate.
MSSA operates a single production site in the Savoie region employing 270 people and posting annual sales of €65M.
Adamas assisted the companies of Alkaline Group as well as the employees of MSSA, beneficiaries of a broad-based stock option plan of a size rarely seen at other groups.

PHOTOVOLTAIC MORATORIUM: towards validation of the decree of 9 December 2010?
The Conseil d'Etat examined on Monday 17 October 38 appeals by producers and associations against the decree of 9 December 2010 suspending the requirement to buy photovoltaic-generated electricity.
The public rapporteur recommended to the CE that these appeals be dismissed.
In a nutshell, this independent judge, who abundantly cited the Charpin report dated 3 September 2010, considers the 3-month moratorium introduced by the decree was justified as the targets defined by the government had been met and soon even to be well overshot in a fashion highly prejudicial to public finances.
He noted that European directive No 2009/28/EC dated 23 April 2009 did not require the introduction of an obligation-to-buy mechanism, and that as a result States had vast latitude over its implementation, including its suspension. He added that the entry into force "without notice" of the decree (whose purpose was precisely to stem speculative overbidding) did not infringe the principles of legitimate expectations, of protection of financial claims or of legal certainty.
Underlining that the decree did not call into question contracts already entered into (and that even an accepted Technical and Financial Proposal (PTF) is not a contract), he went on to reject the grievance based on violation of the principle de non-retroactivity of administrative decisions, holding that in any event the general interest justified the measure (the financial impact amounting to several tens of billions of euros).
One will have to wait for the decision of the CE, which at times, though not frequently, departs from the conclusions of the public rapporteur.

PROCESS SERVERS - COMPENSATION
Adamas assists process servers with the preparation of their claims and the resolution of their problems arising from the implementation of law No 011-94 of 25 January 2011 concerning the reform of representation before appeal courts.
A "hotline" service has been established at the firm.
In fact from 1 July 2011 to 31 March 2012, the service seeks to provide answers to questions posed by process servers, especially regarding the winding-up of existing practices, lay-offs, the establishment of new professional structures for lawyers and all tax-related matters.
You will find attached the list of answer sheets.

ENERGY PERFORMANCE PARTNERSHIP AGREEMENT
Adamas assisted the French department of Manche in concluding an energy performance partnership agreement with Eddal EcoManche representing a grouping comprising EDF optimal Solutions, Dalkia France, Caisse des Dépôts et Consignations and Barclays European Infrastructure Project.
This agreement, which deals with the energy rehabilitation of 20 secondary schools , 3 museums and the Department Hall to the tune of almost 50 million euros, is in line with the recommendations of France’s public consultation on the environment (Grenelle de l'Environnement) since it aims to cut CO² emissions by 58% and achieve energy savings of 32%.
This is one of the most far-reaching energy performance agreements concluded to date, and the first entered into by a French department for the benefit of its secondary schools.

MBO - CCN GROUP
Adamas advised the shareholders of CCN group in connection with the sale of their holding in the German private equity fund Halder via an MBO.
CCN group, founded in 1986, specializes in the production high-precision components used in the turbo industry. CCN group posts sales of about 100 million euros and employs more than 600 people across its various production sites based in France, Slovakia and Mexico.
